These Terms of Service ("Terms") govern your use of vagussolutions.com (the "Website"), operated by Vagus LLC, a Colorado limited liability company, d/b/a Vagus Solutions ("Vagus," "we," "us").

1. Acceptance of these Terms

By accessing or using the Website, you agree to these Terms. If you don't agree, please don't use the Website.

2. The Website and the Platform

The Website provides information about Vagus and its products. The Vagus platform at app.vagussolutions.com (the "Platform") is governed by a separate written agreement between Vagus and each customer (the Vagus Solutions Service Agreement) and, where applicable, a Business Associate Agreement. If those agreements conflict with these Terms, those agreements control for use of the Platform.

3. Acceptable use

You agree not to:

  • Use the Website for any unlawful purpose
  • Attempt to gain unauthorized access to the Website, the Platform or related systems
  • Interfere with or disrupt the Website, including through automated scraping or excessive requests
  • Submit protected health information or other sensitive personal information through Website forms

4. Intellectual property

The Website and its content — including text, graphics, logos and software — are owned by Vagus or its licensors and are protected by intellectual property laws. You may view and print pages for your own informational, non-commercial use. "Vagus" and the Vagus logo are trademarks of Vagus LLC. Third-party names and marks belong to their respective owners.

5. Information on the Website

We work to keep the Website accurate, but its content is provided for general information and may change without notice. Descriptions of features, security practices and roadmap items do not create contractual commitments; those are set out in our customer agreements.

6. Third-party links

The Website may link to third-party websites. We are not responsible for their content or practices.

7. Disclaimer of warranties

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VAGUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE WEBSITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

9. Governing law

These Terms are governed by the laws of the State of Colorado and by applicable U.S. federal law, without regard to conflict-of-laws rules. The state and federal courts located in Colorado will have exclusive jurisdiction over disputes relating to the Website.

10. Changes to these Terms

We may update these Terms by posting a new version on this page and changing the "Last updated" date. Continued use of the Website means you accept the changes.
